These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Renew Marketplace FZ-LLC ("Renew," "we," "us," or "our") governing your access to and use of the Renew marketplace platform and services.

By creating an account, accessing, or using Renew, you agree to be bound by these Terms, our Privacy Policy, and our Catalogue Rules. If you do not agree to these Terms, you must not use our services.

2. Eligibility and Account Registration

Age Requirement: You must be at least 18 years of age to use Renew. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms.

Account Creation: You may create an account using Sign in with Apple or Sign in with Google. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

Account Suspension and Termination: We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect our platform and users.

3. Description of Services

Renew operates an online marketplace platform that enables users to buy and sell second-hand items. Our platform features include:

AI-Powered Listing Creation: When you upload product images, our artificial intelligence systems analyze the images and generate listing information including title, description, category, brand, color, size, material, and other relevant attributes.

Knowledge Base System: We maintain a centralized knowledge base that stores questions and answers about items. Buyers ask questions about listings through our platform, and sellers provide answers. All interactions are mediated through our knowledge base system to improve service quality and provide instant responses when information is already available.

Integrated Transaction Management: We facilitate secure payment processing, hold funds in escrow during transactions, coordinate shipping and delivery services, and manage dispute resolution.

Conversational Search: Our platform uses natural language processing to understand your search queries and match you with relevant listings.

4. User Conduct and Prohibited Activities

You agree not to:

  • Use Renew for any unlawful purpose or in violation of these Terms
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to other users' accounts, our systems, or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Share personal contact information or attempt to communicate with other users outside of our platform's messaging system
  • Use automated systems or software to extract data from our platform without our written permission
  • Post or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Engage in any form of harassment, bullying, or intimidation of other users
  • Attempt to manipulate our search rankings or listing visibility through artificial means
  • Create multiple accounts to circumvent restrictions or bans

4.1 Zero Tolerance for Objectionable Content and Abusive Behavior

No Tolerance Policy: Renew maintains a strict zero-tolerance policy for objectionable content and abusive user behavior. We are committed to maintaining a safe, respectful, and trustworthy marketplace for all users.

Objectionable Content Defined: Objectionable content includes but is not limited to:

  • Content that is illegal, fraudulent, or promotes illegal activity
  • Hate speech, discriminatory content, or content that incites violence or hatred against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
  • Content depicting, promoting, or glorifying violence, self-harm, suicide, abuse, or cruelty
  • Sexually explicit, pornographic, or overtly sexual content
  • Content that harasses, bullies, threatens, or intimidates other users
  • Content that violates the privacy or intellectual property rights of others
  • False, misleading, or deceptive content
  • Spam or unsolicited commercial content
  • Content depicting or promoting dangerous activities or weapons
  • Any other content that we determine, in our sole discretion, to be inappropriate, offensive, or harmful

Abusive Behavior Defined: Abusive behavior includes but is not limited to:

  • Harassment, bullying, threatening, or intimidating other users
  • Attempts to scam, defraud, or deceive other users
  • Repeatedly violating our Terms or Catalogue Rules
  • Creating fake accounts or engaging in identity fraud
  • Manipulating our platform or systems
  • Engaging in any behavior that creates an unsafe or hostile environment

4.2 Content Reporting and Moderation

Reporting Mechanism: If you encounter content or behavior that you believe violates these Terms or is objectionable, you must report it immediately using the "Report" button available on listings, profiles, and other user-generated content throughout our platform.

When reporting content, you should:

  • Select the appropriate reason for the report
  • Provide specific details about the violation
  • Include any supporting evidence (screenshots, messages, etc.)

Our Response Commitment: Upon receiving a report of objectionable content or abusive behavior:

  • We will review all reports within 24 hours of submission
  • If content is found to violate these Terms, we will remove it immediately
  • Users who post objectionable content or engage in abusive behavior will face immediate action, including account suspension or permanent ban
  • We will notify the reporting user of the action taken

Content Moderation: We employ multiple methods to prevent and filter objectionable content:

  • Automated screening of listings and user content for prohibited items and language
  • Manual review of reported content by our moderation team
  • Proactive monitoring of high-risk content categories
  • Continuous improvement of our filtering systems

False Reports: Users who repeatedly submit false or malicious reports may face account restrictions or termination.

4.3 Blocking Users

User Blocking Feature: You have the ability to block other users at any time. When you block a user:

  • You will no longer see any of their listings, content, or communications
  • They will not be able to contact you or interact with your content
  • The block applies across all areas of the platform
  • You can manage your blocked users list in your account settings

To block a user, click the "Block User" option available on their profile or listings.

Automatic Blocks: If a user is found to have posted objectionable content or engaged in abusive behavior, we may automatically block them from interacting with users who reported them or were affected by their behavior.

4.4 Consequences for Violations

Account Actions: Violations of our zero-tolerance policy will result in immediate action, which may include:

  • First Offense: Warning and content removal, or immediate suspension depending on severity
  • Repeat Offenses: Account suspension ranging from 7 days to permanent
  • Serious Violations: Immediate and permanent account termination without warning, including but not limited to posting illegal content, threatening or harassing other users, scamming or defrauding other users, posting sexually explicit or violent content, or any behavior that poses a risk to user safety

No Refunds for Violations: If your account is suspended or terminated due to violations of these Terms, you will not be entitled to any refunds for fees paid or funds held in connection with transactions.

Legal Action: We reserve the right to report illegal activity to law enforcement authorities and to cooperate fully with any legal investigations. We may preserve and disclose user information and content as required by law or as necessary to protect our rights and the safety of our users.

5. Listings and Catalogue Rules

5.1 Allowed Items

You may list the following categories of second-hand items:

  • Clothing, footwear, and accessories for women, men, and children
  • Electronics (limited to specific items including mobile phone accessories, headphones, smartwatches, cameras, tablets, e-readers, gaming consoles, and wearables)
  • Home and furniture items
  • Toys and children's equipment
  • Pet care items

5.2 Prohibited Items

You may not list the following items on Renew:

Illegal Items: Any goods or materials where possession, trading, selling, posting, or production is prohibited by UAE law or applicable international law, including but not limited to weapons, drugs, drug paraphernalia, tobacco products, e-cigarettes, counterfeit goods, stolen property, items that infringe intellectual property rights, and items that promote violence, hatred, discrimination, or terrorism.

Hygiene and Safety Items: Used or opened cosmetics, beauty products, or personal care items; used underwear of any kind; used swimwear (new swimwear must have tags attached); worn socks or tights (unless clearly stated and thoroughly cleaned); items that pose health or safety risks; expired or opened food and beverages; perishable items; and unsafe or recalled products.

Restricted Items: Real fur or exotic animal skins (leather, sheared sheep wool, mohair, and cashmere are permitted); live animals, plants, seeds, or bulbs; hazardous materials or chemicals; prescription medications or medical devices for professional use only; pornographic or adult content; gift cards, vouchers, or digital goods; services or digital products; items requiring special licenses or permits; and automotive vehicles (until this category is officially launched).

Commercial Items: Items sold in bulk for commercial resale purposes; dropshipping products; brand new items with tags purchased for resale (unique second-hand pieces in new condition are acceptable); handmade or craft items intended as a primary business; and items listed with language suggesting commercial activity such as "can be ordered," "out of stock," or "check back later."

This list is not exhaustive. We reserve the right to remove any listing that we determine violates these Terms or is otherwise inappropriate for our platform.

5.3 Listing Requirements

When creating a listing, you must:

  • Have the legal right to sell the item and transfer ownership to a buyer
  • Review and verify all AI-generated listing information for accuracy
  • Provide honest and accurate descriptions of the item's condition
  • Disclose any defects, damage, or alterations to the item
  • Upload clear photographs that accurately represent the item
  • Set a fair and reasonable price
  • Ensure the item complies with our Catalogue Rules

5.4 AI-Generated Content

Our AI systems generate initial listing content based on your uploaded images. You acknowledge and agree that AI-generated content is provided as a convenience and may contain errors.

You are solely responsible for reviewing, editing, and ensuring the accuracy of all listing information before publishing. You retain full ownership and control over your listing content, including the right to modify or delete it.

We are not liable for any inaccuracies or errors in AI-generated content. By publishing a listing, you represent that all information is accurate and complete.

6. Selling on Renew

6.1 Seller Obligations

As a seller, you agree to:

  • List only items you legally own and have the right to sell
  • Accurately describe items and disclose all material defects
  • Respond promptly to questions from buyers through our knowledge base system
  • Ship items within the timeframe specified on our platform
  • Package items securely to prevent damage during shipping
  • Provide tracking information when items are shipped
  • Cooperate in good faith to resolve any disputes

6.2 Listing Process

To list an item:

  1. Upload one or more clear photographs of your item
  2. Review the AI-generated listing information
  3. Edit any information as needed to ensure accuracy
  4. Set your asking price
  5. Publish your listing

Once published, your listing becomes visible to buyers on our platform.

6.3 Shipping Process

When your item sells:

  1. You will receive a notification through our platform
  2. You must book shipping through our integrated logistics partner (OTO/Aramex)
  3. A courier will collect the item from your specified address
  4. The courier will handle packaging (you may also package the item yourself)
  5. The item will be delivered to the buyer

We currently offer shipping services within the United Arab Emirates only.

6.4 Seller Fees

Renew charges a service fee on completed transactions. The specific fee structure is displayed during the listing process and at checkout. All fees are clearly disclosed before you complete a sale.

6.5 Seller Payouts

Payout Eligibility: You may request a payout after your item has been successfully delivered and the 24-hour buyer inspection period has passed without a dispute.

Verification Requirements: To claim your payout, you must provide your Emirates ID for identity verification, provide bank account details, and ensure that the name on your Emirates ID matches the name on your bank account. Verification and payout processing are handled by our third-party provider, Lean Technologies.

Payout Timing: Once you submit your payout request with complete verification information, funds will be transferred to your bank account within the timeframe specified on our platform.

7. Buying on Renew

7.1 Buyer Obligations

As a buyer, you agree to:

  • Pay for items you commit to purchase
  • Provide accurate shipping information
  • Inspect items promptly upon delivery
  • Report any issues within the 24-hour inspection window
  • Cooperate in good faith to resolve any disputes
  • Not make fraudulent or bad-faith dispute claims

7.2 Purchasing Process

To purchase an item:

  1. Browse listings and select an item you wish to purchase
  2. Ask questions about the item through our knowledge base system if needed
  3. Click "Buy" or equivalent button
  4. Provide your shipping address
  5. Complete payment through our secure payment system

7.3 Payment

Payment Methods: We accept payments through Stripe, including credit cards, debit cards, and other payment methods supported by Stripe.

Payment Processing: When you purchase an item, you pay for the item price, shipping fees, and Buyer Protection fee.

Fund Holding: Your payment is held in a dedicated float bank account (separate from our primary business account) until the transaction is completed. Funds are released to the seller only after successful delivery and completion of the 24-hour inspection period, or after a dispute is resolved in the seller's favor.

7.4 Buyer Protection

Inspection Period: Upon delivery, you have 24 hours to inspect the item and raise a dispute if the item is not as described, damaged, or not received.

Protection Coverage: Buyer Protection covers situations where the item was not delivered, the item is significantly not as described in the listing, or the item arrived damaged.

Protection Limitations: Buyer Protection does not cover buyer's remorse or change of mind, fit or sizing issues (unless the size was materially misrepresented), minor discrepancies that do not affect the item's functionality or value, issues reported after the 24-hour inspection period, damage caused by the buyer, or items purchased outside of our platform.

Buyer Protection Fee: A Buyer Protection fee is automatically applied to each transaction and clearly disclosed at checkout.

8. Disputes and Resolution

8.1 Raising a Dispute

If you receive an item that is not as described, damaged, or not delivered, you must raise a dispute within 24 hours of delivery (or expected delivery date if not received).

To raise a dispute:

  1. Go to your order details
  2. Select "Report a Problem" or equivalent option
  3. Provide a clear description of the issue
  4. Upload supporting evidence (photographs, screenshots, etc.)

8.2 Dispute Resolution Process

When a dispute is raised:

  • The transaction is placed on hold and funds are not released to either party
  • Both parties are notified of the dispute
  • We encourage buyers and sellers to communicate and attempt to resolve the issue directly
  • If resolution cannot be reached, we will review the evidence and make a determination within seven days
  • Our decision is final and binding

Possible outcomes include:

  • Buyer Favored: The buyer receives a full refund, and we arrange and pay for return shipping from the buyer back to the seller
  • Seller Favored: The transaction is marked as complete, and funds are released to the seller
  • Partial Resolution: In some cases, we may facilitate a partial refund or other resolution

8.3 Prohibited Conduct in Disputes

You may not:

  • Make false or fraudulent claims
  • Fail to provide requested evidence or information
  • Refuse to cooperate in good faith
  • Abuse the dispute process
  • Engage in threatening or abusive behavior

Users who abuse the dispute process may have their accounts suspended or terminated.

9. Communication and Knowledge Base System

9.1 Platform-Mediated Communication

All communication between buyers and sellers occurs through our platform. You may not:

  • Share personal contact information (phone numbers, email addresses, social media handles, etc.)
  • Attempt to conduct transactions outside of our platform
  • Request or provide payment information directly
  • Solicit buyers or sellers to communicate off-platform

9.2 Questions and Answers

Asking Questions: Buyers may ask questions about listed items through our platform. Questions must relate solely to the item and must not request personal information or off-platform communication.

Answering Questions: Sellers are expected to respond promptly to questions about their items. Answers are stored in our knowledge base system and may be used to automatically respond to similar questions in the future.

Knowledge Base Usage: By using our platform, you acknowledge and agree that questions and answers are stored in our knowledge base system to improve service quality, enable instant responses, and enhance the overall user experience.

10. Intellectual Property

10.1 Our Intellectual Property

All content on the Renew platform, including but not limited to text, graphics, logos, images, software, and functionality, is the property of Renew Marketplace FZ-LLC or its licensors and is protected by UAE and international intellectual property laws.

You may not:

  • Copy, modify, or distribute our content without permission
  • Use our trademarks or branding without written authorization
  • Reverse engineer or attempt to extract source code from our platform
  • Create derivative works based on our services

10.2 Your Content

You retain ownership of all content you upload to Renew, including photographs, descriptions, and other listing information. However, by uploading content, you grant Renew a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your content in connection with providing and promoting our services.

You represent and warrant that:

  • You own or have the necessary rights to all content you upload
  • Your content does not infringe the intellectual property rights of any third party
  • You have the right to grant the license described above

10.3 Reporting Intellectual Property Infringement

If you believe that content on our platform infringes your intellectual property rights, please contact us at tom@renewuae.com with the following information:

  • A description of the copyrighted work or intellectual property you claim has been infringed
  • The URL or location of the allegedly infringing material
  • Your contact information
  • A statement that you have a good faith belief that the use is not authorized
  • A statement of accuracy and a statement, under penalty of perjury, that you are authorized to act on behalf of the rights holder

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Platform Provided "As Is": Renew is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Accuracy: We do not guarantee the accuracy, completeness, or reliability of any content on our platform, including AI-generated listing information, user-provided descriptions, or third-party information.

No Liability for User Actions: We are not responsible for the actions, content, information, or data of third parties including sellers and buyers. You release us from all liability for any disputes between users.

Limitation of Damages: Renew shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use our services.

Maximum Liability: Our total liability to you for all claims arising from or related to these Terms or your use of Renew shall not exceed the amount of fees you have paid to Renew in the twelve months preceding the claim.

No Liability for Third-Party Services: We are not responsible for the actions or failures of third-party service providers including payment processors, shipping companies, or authentication services.

User Responsibility: You acknowledge that you are solely responsible for your interactions with other users and for verifying the accuracy of item descriptions before making a purchase.

12. Indemnification

You agree to indemnify, defend, and hold harmless Renew Marketplace FZ-LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your violation of these Terms, your use of our services, your content or listings, your interactions with other users, your violation of any rights of another person or entity, or your violation of any applicable laws or regulations.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at tom@renewuae.com. Upon termination, you will no longer have access to your account, your listings will be removed from our platform, you remain obligated to complete any pending transactions, and we may retain certain information as required by law or for legitimate business purposes.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, fraudulent or illegal activity, abuse of our platform or other users, repeated disputes or chargebacks, listing of prohibited items, or any other reason we deem necessary to protect our platform and users.

13.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. You must cease all use of our services. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, limitation of liability, indemnification, and governing law.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on our platform and updating the "Last Updated" date at the top of these Terms. We may also notify you via email or through a notification on our platform.

Your continued use of Renew after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our services.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the regulations of the Dubai Internet City Free Zone Authority, without regard to conflict of law principles.

15.1 Dispute Resolution

If a dispute arises between you and Renew, we encourage you to first contact us at tom@renewuae.com to attempt to resolve the issue informally.

15.2 Jurisdiction

Any disputes arising from or related to these Terms or your use of Renew that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

15.3 Class Action Waiver

To the extent permitted by law, all claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Catalogue Rules, constitute the entire agreement between you and Renew regarding your use of our services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

16.4 No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Renew. Neither party has the authority to bind the other or to create any obligation on behalf of the other.

16.5 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

16.7 Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
